What beneficial ownership means

Beneficial ownership is the question of which people sit at the end of a company's ownership chain. A company's immediate shareholders are frequently other companies, and the chain can run through several jurisdictions before it reaches a person; beneficial ownership analysis follows it to the ends. It matters for anti-money-laundering obligations, sanctions exposure, procurement integrity and knowing who is actually on the other side of a contract.

The data situation is uneven and moving. The EU's public beneficial-ownership registers were substantially restricted by the Court of Justice's November 2022 judgment on public access. The UK's PSC register remains public. In the United States, FinCEN's beneficial ownership registry was never public, and the March 2025 interim rule and the subsequent final rule narrowed the reporting requirement dramatically. Any vendor's global UBO coverage is therefore a mixture of registers, filings, purchased data and inference, and the proportions are rarely disclosed.

The resolution problem underneath it is mostly a company problem: the chain is made of corporate links, and getting those links right — which company is which, across registers and jurisdictions — is where most of the error is.

Entity Bind resolves the corporate links. It carries sourced ownership facts with citations, resolves corporate owners as companies, and expresses group structure rather than collapsing it. It does not resolve natural persons, does not produce an ultimate beneficial owner determination, and is not a sanctions, adverse-media or screening tool. A buyer who needs a UBO determination needs a provider whose scope includes people.

PSC (person with significant control)

A PSC is a person or corporate body with significant control over a UK company — broadly, more than 25% of shares or voting rights, or the right to appoint or remove the majority of the board — declared to Companies House and published on the register.

Entity

An entity is the real-world thing a set of records is asserted to describe — in Entity Bind, one company or organisation, holding a stable identifier that survives the records attaching to it.

Crosswalk

A crosswalk is a mapping between the identifier schemes that name the same company in different systems — LEI to company number to CIK to ticker — so that data joined on one key can be joined to data keyed on another.

Company number

A company number is the identifier a register assigns to a company at incorporation, and it is unique only within the register that issued it — never within a country and never globally.

Citation

A citation is a resolvable pointer to the specific source document or record that supports a claim, as distinct from a source name, which is only an attribution.

evidence basis

Internal fixtures only. The historical 2026-08-29 per-tier recording covers 317 GB companies with identifier-rich arrivals seeding the catalogue first; the context tier includes country and registered-town prose. Its legacy replay has no full-prompt-verified calls and cannot certify current calibration. The September 5 CI reports cover 1,176 labelled pairs and 705 records over 250 companies using offline stubs. These are not independent customer holdouts or live production validation; the 99% minimum-input product target remains unmet. Scope is company and organisation identity only — not people, vessels, bank-account ownership, sanctions or emissions. Results may not be used for eligibility decisions about individuals, including employment, credit and tenancy.
